01 Introduction & Acceptance
These Terms & Conditions ("Terms") govern your access to and use of seoshut.com (the "Website") and the services provided by SEOS HUT LTD ("SEOs Hut", "we", "us" or "our").
SEOS HUT LTD is a private limited company registered in England & Wales (company number 15529926), with its registered office at 2nd Floor, College House, 17 King Edwards Road, Ruislip, London, England, HA4 7AE. We trade under the name SEOs Hut.
By using our Website, submitting an enquiry, or engaging us for any service, you confirm that you accept these Terms and agree to be bound by them. If you do not agree, please do not use our Website or services.
For paid engagements, these Terms apply together with the separate written proposal or service agreement we provide for your project (the "Service Agreement"). Where the two conflict, the Service Agreement takes precedence for that engagement.
02 Definitions
To keep these Terms clear, the following words have these meanings:

03 Our Services
SEOs Hut provides digital marketing services for local businesses, including:
- AI SEO / GEO — optimising your business to appear in AI tools such as Google AI Overviews, ChatGPT and Perplexity.
- Local SEO — improving your visibility in Google Search and the Google Map Pack.
- Website Design & Build — designing and developing business websites.
- Google Ads — setting up and managing paid advertising campaigns.
- Google Business Profile — optimising and managing your Business Profile listing.
- Search & AI Audits — analysing your current visibility across search and AI platforms.
The exact scope, deliverables, timelines and fees for any engagement are confirmed in your individual Service Agreement. We may decline any enquiry or project at our discretion, and we may improve or adjust our service offerings over time.
04 Quotes, Fees & Payment
Fees for the Services are set out in your Service Agreement or quote. Quotes are valid for the period stated in them, or for 30 days if no period is stated.
- Invoices are payable by the due date shown on the invoice. We may pause work on an account where invoices remain unpaid.
- Advertising spend for Google Ads (the budget paid to the ad platform) is separate from our management fee and is the Client's responsibility.
- Late payment may incur interest and reasonable recovery costs as permitted by applicable law.
- Taxes — fees are exclusive of any applicable taxes, which will be added where required.
Unless stated otherwise in your Service Agreement, fees already paid for work performed are non-refundable.
05 Term, Minimum Commitment & Cancellation
We believe in earning your business every month, not locking you into long contracts. Unless your Service Agreement states otherwise, our standard engagement terms are:
- 3-month minimum initial term — the realistic time needed to establish the work and see early results.
- Month-to-month afterwards — once the initial term ends, the engagement continues on a rolling monthly basis.
- 30 days' written notice — either party may end the engagement by giving 30 days' written notice after the initial term.
On cancellation, all fees for work performed and the current notice period remain payable. Any specific terms in your Service Agreement take precedence over this section.
06 Client Responsibilities
To help us deliver the best results, you agree to:
- Provide accurate, complete and up-to-date information about your business.
- Give us timely access to the accounts, assets and content we need — such as your website, Google Business Profile, and photos or videos of your work.
- Review and respond to requests for feedback or approval within a reasonable time.
- Ensure you own, or have permission to use, all materials you provide to us.
- Comply with all applicable laws and the terms of third-party platforms (such as Google).
We are not responsible for delays or reduced results caused by late, incomplete or inaccurate information, or by changes you or other parties make to your website or accounts without our involvement.
07 SEO & Performance Disclaimer
Search engines and AI platforms — including Google, Bing, ChatGPT, Google AI Overviews and Perplexity — are owned and controlled by third parties. Their ranking algorithms and AI systems change frequently and are entirely outside our control.
While we apply proven, ethical, best-practice methods and have a strong track record, we cannot and do not guarantee any specific rankings, traffic levels, leads, sales, AI citations or revenue, or the timeframe in which results will appear.
Any examples, case studies or past results shared by us are illustrations of previous work and are not a promise or prediction of future performance.
We use only ethical, "white-hat" techniques and never engage in practices that breach search engine guidelines. We are not liable for changes in rankings or visibility caused by algorithm updates, third-party platform changes, penalties resulting from your other activities, or changes made to your website or accounts outside our control.
08 Intellectual Property
Our Website and brand
All content on seoshut.com — including text, design, graphics, code, logos, case studies and proof images (such as analytics charts and ranking screenshots) — is owned by or licensed to SEOS HUT LTD and is protected by intellectual property laws. You may not copy, reproduce, republish or reuse it without our prior written permission.
Deliverables
Once a project has been paid for in full, ownership of the final Deliverables created specifically for you transfers to you, unless your Service Agreement states otherwise. We retain ownership of our pre-existing tools, processes, templates, methodologies and know-how.
Client materials
You keep ownership of any materials you provide to us. You grant us a licence to use them as needed to deliver the Services and, unless you tell us otherwise in writing, to feature the completed work in our portfolio and case studies.
09 Confidentiality
Both parties may receive non-public information about the other during an engagement. Each party agrees to keep the other's confidential information private, to use it only for the purpose of providing or receiving the Services, and not to disclose it to others without permission — except where disclosure is required by law.
10 Third-Party Platforms
Our Services rely on third-party platforms and tools — including Google, hosting providers, analytics services and advertising networks. We do not control these platforms and are not responsible for their availability, performance, pricing, policies or any changes they make.
Your use of any third-party platform is subject to that platform's own terms and conditions.
11 Acceptable Use of Our Website
When using our Website, you agree not to:
- Use it for any unlawful, fraudulent or harmful purpose.
- Attempt to gain unauthorised access to, disrupt or damage the Website or its systems.
- Copy, scrape or harvest content, data or proof images from the Website without permission.
- Submit false information or misuse our free audit tools.
We may suspend or restrict access to the Website for anyone who breaches these rules.
12 Disclaimers & Limitation of Liability
Our Website and any free tools, content or resources are provided on an "as is" and "as available" basis for general information. We do not warrant that they will be uninterrupted, error-free or completely secure. Our Services are delivered with reasonable care and skill.
To the fullest extent permitted by law:
- Our total liability arising out of or in connection with the Services or your use of the Website is limited to the total fees paid by you to us in the three (3) months immediately before the event giving rise to the claim.
- We are not liable for indirect, incidental or consequential losses, or for loss of profit, revenue, business, goodwill or data.
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.
13 Indemnification
You agree to indemnify and hold SEOS HUT LTD harmless against any claims, losses, damages, liabilities and reasonable costs arising from your breach of these Terms, your misuse of the Services or Website, or any content or materials you provide that infringe the rights of a third party.
14 Termination
Either party may end an engagement in line with the cancellation terms in Section 5 or in your Service Agreement.
We may suspend or terminate an engagement immediately if you fail to pay an overdue invoice, materially breach these Terms, or act in a way that is unlawful or harmful. On termination, any outstanding fees become payable, and we will provide a reasonable handover of completed Deliverables that have been paid for.
15 Governing Law & Jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of England & Wales.
The courts of England & Wales have exclusive jurisdiction to settle any such dispute or claim.
16 Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, technology or the law. The "last updated" date at the top of this page shows the current version. Continued use of our Website or Services after a change takes effect means you accept the updated Terms.
